MUTUAL NON-DISCLOSURE AGREEMENT
This Mutual Non-Disclosure Agreement ("Agreement") is entered into on September 8, 2026 ("Effective Date"), by and between:
Party A: NovaTech Solutions LLC, with primary business offices in Wilmington, Delaware ("NovaTech Solutions LLC"), and
Party B: Apex Creative Labs Inc, with primary business offices in San Francisco, California ("Apex Creative Labs Inc").
1. PURPOSE
The parties wish to explore a potential business relationship ("Permitted Purpose") and, in connection therewith, may disclose confidential and proprietary technical and business information to each other.
2. CONFIDENTIAL INFORMATION
"Confidential Information" refers to any proprietary information disclosed by either party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
3. OBLIGATIONS
Each party agrees:
(a) To hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential materials (and never less than reasonable care);
(b) To use such Confidential Information solely for the Permitted Purpose;
(c) Not to disclose Confidential Information to any third party without prior written consent.
4. DURATION
The obligations of confidentiality shall endure for a period of 2 Years from the Effective Date.
5. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts of law principles.
IN WITNESS WHEREOF, the parties hereto have executed this Mutual Non-Disclosure Agreement as of the date first written above.
